The company and these terms
LucidGrowth Media Private Limited operates this website under the Lucid Growth Media brand. Our office address, CIN and GSTIN appear in the footer. Contact legal@lucidgrowthmedia.com about these terms.
These terms govern use of this informational website. It has no online checkout, paid account or automatic subscription renewal. By using the site, you agree to its lawful-use rules. Submitting a form confirms only the permissions stated beside that form; it does not place an order, reserve capacity or create a paid engagement.
Our services are intended primarily for organisations and business professionals. You must be an adult with authority to provide information and, when accepting a project, bind the organisation you represent.
How paid work is agreed
Paid work starts only after an authorised LGM representative accepts a written proposal, statement of work or service agreement and any agreed advance is received. Estimates, discussions, demonstrations and automated messages are not acceptance. LGM may decline an enquiry or proposed project.
The commercial provisions on this page and our Refund policy apply to a paid engagement only when expressly incorporated into the accepted project terms before payment. A signed project agreement takes priority over these general provisions if there is a conflict. Mandatory law takes priority in all cases.
The agreement must identify deliverables, exclusions, fees, taxes, payment dates, start conditions, dependencies, revisions, acceptance criteria, support and termination. Services not expressly included are outside scope. A website update does not change an existing contract retrospectively.
Fees, payments and no discretionary refunds
LGM does not offer discretionary refunds, money-back trials or refunds for a change of mind. The Refund policy explains this rule and its application to agreed fees, reserved capacity and authorised external costs. Read it before accepting a proposal or paying.
Unless the accepted proposal expressly includes them, advertising budgets, creator fees, licences, subscriptions, platform charges and taxes are separate from agency fees. A client must approve external commitments before we incur them on its behalf.
Pay invoices in the currency and by the date stated. Statutory deductions must be supported by the required certificates. Raise a genuine invoice discrepancy promptly with its basis; pay undisputed amounts when due. Late-payment charges, if any, must be stated in the accepted agreement and comply with law.
After written notice and any agreed cure period, LGM may suspend affected work for overdue undisputed payments or missing essential inputs. Fees properly earned and authorised commitments remain payable. Cancellation, handover and any amount legally due are handled under the agreement and Refund policy.
Client inputs, approvals and changes
The client must provide accurate instructions, timely access, lawful data, substantiation for its claims and the rights needed for supplied materials. The client is responsible for decisions about its products, prices, offers and business operations. LGM remains responsible for its own obligations.
Name an authorised approver and agree review dates. Check facts, names, prices, claims, links, translations, rights and instructions before approving a release. Approval records help establish the agreed version; they do not excuse a defect LGM is legally responsible for.
Material changes to scope, channels, deliverables, timing or approved work require written agreement on cost and schedule. Additional revisions are not automatically included. Missing inputs, delayed approvals or client-side system changes may move delivery dates; we will explain the effect.
Acceptance periods, correction procedures and any deemed-acceptance rule must be expressly agreed for the project. Silence on a website enquiry is not acceptance. LGM may refuse or pause an unlawful, unsafe, misleading or unauthorised instruction.
Ownership and confidential information
Unless expressly assigned in a signed agreement, LGM retains its existing intellectual property, methods, reusable code, tools, templates, working files and unused concepts. Any agreed transfer or licence in final deliverables takes effect only when its stated conditions, including full payment of amounts due, are met.
Client-supplied materials remain the client’s or their rights holders’ property. The client grants the rights needed to perform the agreed work and confirms that it can lawfully do so. Third-party assets and software remain subject to their own licences. Source files, source code and perpetual support are included only if stated.
We do not publish confidential client work or client names as proof without the required permission. Confidentiality terms should define permitted recipients, security, exclusions, legal disclosures and return or deletion. Sending unsolicited information does not create an NDA or require us to accept the project.
You may link to public pages and keep reasonable internal reference copies. Lawful search indexing, attributed summaries and assistive or agentic browsing of public content are welcome within our published access rules. This does not license copying our brand, republishing whole guides, bypassing access controls or using private submissions for model training.
Platforms, AI and performance expectations
Service descriptions explain capabilities, not guaranteed results. We do not guarantee revenue, leads, return on advertising spend, rankings, inclusion in AI answers, platform approval, uninterrupted third-party availability or election outcomes. Forecasts are estimates with assumptions, not warranties.
Platforms can change prices, rules, algorithms, access and features. LGM is not responsible for a third party’s independent acts merely because we recommend or integrate it. We remain responsible for duties we expressly undertake and for matters the law places on us.
AI outputs may be inaccurate, incomplete, biased, non-exclusive or subject to others’ rights. Human review, approved sources, permissions and release checks are required for the agreed use. The Responsible AI & voice and Political & public communications policies set additional boundaries.
Guides and general website material are not professional legal, medical, financial or other regulated advice. External links are provided for context; they do not establish a partnership or make another provider’s policies our own.
Lawful use and protection against third-party claims
Do not use our website or deliverables for fraud, infringement, spam, harassment, unauthorised access, deceptive impersonation or unlawful surveillance. Do not upload malware, probe restricted systems or submit information you have no right to share. Get written authorisation before security testing.
For business engagements incorporating these terms, the client shall indemnify LGM against third-party claims, damages finally awarded, settlement amounts approved in writing and reasonable defence costs to the extent caused by client-supplied material, unlawful client instructions, missing rights or the client’s unauthorised use or modification of deliverables. This excludes the portion caused by LGM’s own breach, negligence or misconduct.
LGM will give prompt notice of such a claim, allow reasonable participation in the defence and reasonably cooperate. Neither party may make an admission or settle in a way that imposes a non-monetary obligation on the other without its written consent. Recoverable amounts must be lawful, documented and must not duplicate recovery for the same loss.
Limits of liability
To the fullest extent permitted by law, this free informational website is provided as available without a warranty of uninterrupted operation, fitness for a particular purpose or freedom from errors. We may correct, change or suspend it for security, maintenance or other legitimate reasons.
To the extent permitted by law, LGM excludes liability for indirect or consequential loss and for loss of anticipated profit, revenue, opportunity, goodwill or savings arising from website use or a business engagement incorporating these terms. The exclusion applies whether the claim is framed in contract, tort or otherwise.
For a business engagement expressly incorporating these terms, unless its signed agreement states another cap, LGM’s total aggregate liability for all claims arising from that engagement is limited to the agency service fees actually paid to LGM under the affected statement of work during the six months preceding the event giving rise to the first claim. Taxes, pass-through media budgets and third-party charges do not count as agency fees. Related claims do not create separate caps.
Nothing in these terms excludes fraud, fraudulent misrepresentation, wilful misconduct, or a duty, liability or remedy that applicable law does not permit us to exclude or limit. These limits do not convert a privacy notice into a waiver of data-protection duties.
Events outside reasonable control and ending work
Neither party is responsible for delay to the extent caused by an event beyond its reasonable control that could not reasonably be prevented, subject to law and its agreed duties. The affected party must give notice, take reasonable steps to reduce the impact and resume performance when possible. This does not excuse payment already due or failures caused by that party’s own lack of reasonable care.
Termination rights, cure periods, work-in-progress treatment and handover follow the accepted agreement. LGM may act promptly to prevent unlawful activity or protect security. Intellectual-property restrictions, confidentiality, accrued payment obligations and provisions intended to survive continue to the extent lawful.
Indian law and Jaipur courts
Indian law governs these terms. Subject to mandatory law, the courts of competent jurisdiction at Jaipur, Rajasthan, including the Rajasthan High Court, Jaipur Bench, where it has jurisdiction, shall have exclusive jurisdiction over disputes arising from these terms. LGM maintains an office and its legal team in Jaipur.
This choice applies to courts that have jurisdiction under applicable law. It does not confer original jurisdiction on the High Court for every dispute or exclude a statutory forum whose jurisdiction cannot lawfully be excluded.
Please send a written dispute notice to legal@lucidgrowthmedia.com with the project, issue and supporting information. The parties should first seek a good-faith resolution through authorised representatives. This does not delay urgent relief, a legal deadline or a complaint to a competent statutory authority. No arbitration agreement or appointment of an arbitrator is created by this website.
Changes, interpretation and contact
These terms apply prospectively from their stated update date. A change to a signed engagement requires the variation process in that agreement. No informal statement varies an agreed term unless an authorised representative confirms the change in writing.
A failure or delay to enforce a right is not a waiver. If a provision is unenforceable, it is limited or separated only as far as necessary and the lawful remainder continues. These terms do not create a partnership, employment relationship or authority to bind LGM.
Privacy choices follow the Privacy notice; complaints follow the Concerns & rights policy. For questions about these terms or a proposed contract, contact legal@lucidgrowthmedia.com.
